Eligibility

To place an order with Desktop License, you must be at least 18 years old and legally able to enter into a binding contract. If you are ordering on behalf of a business, you represent that you are authorized to bind that business to these Terms.

Orders and Acceptance

All orders placed on desktoplicense.com are offers to buy, subject to our acceptance. We may decline any order for reasons including but not limited to product availability, pricing errors, suspected fraud, or inability to verify the order. If we decline your order, we will notify you and, if payment was taken, issue a refund.

Pricing and Payment

All prices are shown in U.S. dollars unless otherwise stated. Prices may change at any time, but the price you pay is the price shown at checkout when you completed your order. Applicable sales tax will be added where required by law. Payment is due at the time of order.

Delivery

Delivery is governed by our Delivery Policy, which is incorporated into these Terms by reference. In brief: products are delivered digitally by email after order verification, typically within a few business hours during our business window.

Publisher License Terms

The software you receive is subject to the publisher's own end-user license agreement (for example, Intuit's terms of service and end-user license for QuickBooks). By using the software, you agree to those publisher terms in addition to these Terms. Publisher terms govern how the software functions, permitted uses, activation, transfer, and support. Please read the publisher's terms carefully.

Prohibited Use of Licenses

You agree not to:

  • Share, resell, sublicense, or transfer a license outside the terms permitted by the publisher.
  • Use a single-user license concurrently on more machines than the license allows.
  • Use the software or your account in any way that violates applicable law or the publisher's terms.

Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

Warranty

Our limited warranty is set out in the Warranty Policy, which is incorporated into these Terms by reference. Except as set out in that Warranty Policy and as required by applicable law, products are sold "as is" without additional warranties from Desktop License.

All content on desktoplicense.com - including text, graphics, logos, and page design - is owned by Desktop License or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or otherwise use our content without our written permission. Third-party trademarks referenced on our site (for example, QuickBooks and Intuit) are the property of their respective owners; we reference them only to identify the products we sell.

QuickBooks, Intuit, and related names and logos are trademarks of Intuit Inc. Desktop License is an independent reseller and is not affiliated with, endorsed by, or sponsored by Intuit Inc.

Limitation of Liability

To the maximum extent permitted by applicable law, Desktop License's total liability arising out of or in connection with any order or use of desktoplicense.com is limited to the amount you paid for the product giving rise to the claim. Desktop License is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Desktop License, its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of a license, or your violation of the publisher's terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-laws rules. Any dispute arising out of or related to these Terms or your use of desktoplicense.com will be resolved in the state or federal courts located in Rutherford County, Tennessee, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. The version in effect at the time of your order is the version that applies to that order. We will update the "last updated" date at the top of this page when changes are made.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
